Last updated: June 9, 2026
1. Introduction
These Terms and Conditions ("Terms") govern your use of the BandFlow platform ("Service"), operated by MonoClue Solutions SRL, a company registered in Romania (Sole Registration Code / CUI: RO39276061, Trade Register No. / Nr. Registrul Comerțului: J31/283/2018), having its registered office in Romania ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 16 years old to use the Service. By using BandFlow, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Account Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account.
4. Service Description
BandFlow is a platform for musicians to manage events, finances, practice logs, songs, setlists, and band collaboration. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
5. Subscriptions and Payments
Certain features require a paid subscription. Payments are processed securely through Stripe. By subscribing, you authorize recurring charges at the applicable rate. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are handled in accordance with applicable EU consumer protection laws, including a 14-day withdrawal right for consumers within the European Union.
6. Free Trial
We may offer a free trial period. At the end of the trial, your access to premium features will be restricted unless you subscribe. We will not charge you without your explicit consent.
7. User Content and User Representations
"User Content" means any text, files, audio recordings, sheet music, lyrics, chord charts, PDF attachments, photographs, video links, comments, setlists, event notes, song metadata or other material you upload, share, link to or otherwise submit to the Service ("upload").
You retain ownership of your User Content. By uploading User Content you grant MonoClue Solutions SRL a worldwide, non-exclusive, royalty-free, sub-licensable license (limited in time to the duration of your account plus the retention periods set out in our Privacy Policy) to host, store, copy for backup, transmit, transcode for technical purposes (for example re-encoding audio to MP3 for storage efficiency), and display the User Content solely to the extent strictly necessary to operate and provide the Service to you and to the band, organization, class or other recipients you have explicitly shared it with. We do not claim any intellectual-property rights over your User Content and we do not use it for advertising, model training, analytics insights, third-party sale or any purpose unrelated to operating the Service.
You represent and warrant, on each upload, that:
- You own the User Content, OR you have obtained all necessary licences, consents, permissions and rights (including from copyright owners, neighboring-rights owners, performers, songwriters, publishers, collective management organizations and any data subjects identifiable in the content) to upload and share it through the Service;
- The User Content does not infringe any third-party intellectual property right (including copyright, neighboring rights, trademark, design or patent), publicity right, privacy right, moral right, contract right, trade-secret right or any other right;
- The User Content is not unlawful, defamatory, obscene, threatening, harassing, hateful, fraudulent or otherwise prohibited by these Terms or by applicable Romanian or EU law;
- The User Content does not contain malware, viruses, exploits or any other code intended to harm the Service or other users;
- If the User Content contains personal data of third parties (for example bandmate names, student email addresses, contact details), you have a lawful basis under the GDPR to process and share that data through the Service, and you have given the data subjects the required information notices.
You are solely responsible for your User Content and for any consequences of uploading or sharing it. MonoClue Solutions SRL does not pre-screen, vet, moderate, listen to, transcribe or otherwise inspect User Content. We act as a neutral technical hosting service provider as described in Section 9 below.
8. Indemnification
You agree to defend, indemnify and hold harmless MonoClue Solutions SRL, its officers, employees, agents and subcontractors against any and all third-party claims, demands, actions, proceedings, losses, liabilities, damages, fines, settlements, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Any User Content you upload, share or link to through the Service;
- Any breach by you of the representations and warranties in Section 7;
- Any infringement by your User Content of a third party's intellectual-property right, publicity right, privacy right, or any other right;
- Any use of the Service by you in violation of these Terms, applicable law, or the rights of any third party.
This indemnity survives termination of these Terms and your account. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to this indemnity, in which case you agree to cooperate with our defense at your expense.
9. Hosting Service Provider Notice (e-Commerce Directive, Digital Services Act)
MonoClue Solutions SRL provides a "hosting service" within the meaning of Article 14 of Directive 2000/31/EC (the e-Commerce Directive) as transposed into Romanian law, and a "hosting service" within the meaning of Article 3(g)(iii) and Article 6 of Regulation (EU) 2022/2065 (the Digital Services Act). User Content is stored at the request and direction of the user that uploads it.
In accordance with those provisions:
- We do not have a general obligation to monitor User Content or to actively seek facts or circumstances indicating illegal activity (DSA Art. 8).
- We are not liable for User Content uploaded by users where we have no actual knowledge of illegal activity or illegal content, and where, upon obtaining such knowledge, we act expeditiously to remove or disable access to that content.
- Any automatic technical processing we perform (such as transcoding audio to MP3 for storage efficiency, generating thumbnails, or computing content hashes for deduplication and quota purposes) is purely technical, automated and content-neutral — it does not constitute knowledge, control or supervision of the User Content.
No active monitoring; no editorial control. We do not, and have no obligation to, actively monitor, pre-screen, review, vet, approve, listen to, watch, transcribe, fingerprint, rate or otherwise inspect User Content before, during or after upload. We do not curate or recommend User Content, we do not select or rank it on the basis of its substance, and we do not exercise editorial control over it. No statement on this platform, in our marketing, on our public pages, in our help-center or in correspondence shall be read or relied on as implying that we review, approve, certify, authenticate, endorse or warrant any User Content. Any visual cues such as upload-success messages, file-format icons or duration / size metadata are produced automatically and do not constitute a review or approval. If we add automated tools in the future to detect specific categories of illegal content (for example virus scanning at upload, or automated copyright-fingerprinting in response to a specific take-down request), those tools will remain content-neutral, will be operated solely to comply with our legal obligations, and will not be interpreted as the assumption of a general monitoring duty for the purposes of Article 8 of the Digital Services Act.
If you become aware of User Content that you believe infringes your rights or is otherwise unlawful, please follow the notice procedure in Section 10 below.
10. Copyright and Content Notice Procedure
We respect intellectual-property rights and process complete notices promptly. If you believe that User Content available through the Service infringes your copyright, neighboring right, trademark, publicity right, privacy right or another right, please send a written notice to legal@bandflow.app containing the following (modelled on Article 16 of the Digital Services Act):
- A sufficiently substantiated explanation of why you consider the User Content to be illegal or infringing;
- A clear indication of the exact electronic location of the content (URL or in-app location);
- Your name and email address (we will keep your identity confidential to the extent permitted by law);
- A statement that you have a good-faith belief that the use of the content is not authorized by the rights holder, its agent or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf.
Upon receipt of a complete notice, we will act expeditiously to investigate and, where appropriate, remove or disable access to the reported User Content. We will notify the uploader of the action taken and of their right to submit a counter-notice. Repeat infringers' accounts will be terminated in accordance with Section 12.
Counter-notice. If your User Content has been removed and you believe the removal was a mistake, you may submit a counter-notice to the same address containing the original location of the content, a statement under penalty of perjury that you have a good-faith belief the content was removed due to a mistake or misidentification, and your consent to the jurisdiction of the competent Romanian courts. We may restore the content if the original complainant does not initiate legal action within the time period required by applicable law.
11. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code or content
- Resell or redistribute the Service without written permission
12. Intellectual Property of the Service
The Service, including its design, code, branding, and documentation, is the property of MonoClue Solutions SRL and is protected by Romanian and international intellectual property laws. You may not copy, modify, or distribute any part of the Service.
12.1 Third-party content
The instrument sounds used by the practice tools are third-party sample libraries, used under their own licences:
- Bass, upright bass and guitar samples from Karoryfer Samples (Black And Blue Basses, Meatbass, Shinyguitar), electric guitar samples from the FreePats project and drum samples from Virtuosity Drums by Versilian Studios and Karoryfer Samples, all released under CC0 1.0. - Earlier guitar and bass samples generated from the FluidR3_GM soundfont by Frank Wen, as published by gleitz/midi-js-soundfonts, licensed under CC BY 3.0. The files were trimmed, converted and level-normalized for use in the Service.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
14. Termination
We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period, subject to applicable legal obligations.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Romania. Any disputes shall be resolved by the competent courts in Romania. If you are a consumer in the European Union, you also have the right to submit disputes to the Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the revised Terms.
